# Vendor Terms and Conditions Last Updated: September 2026 These Vendor Terms and Conditions (the "Agreement") govern the terms under which vendors (the "Vendor" or "Vendors") provide products, services, and/or solutions to AutoSMSHub.com ("we," "us," "our"). By entering into this Agreement or continuing to provide services or products to us, the Vendor agrees to the following terms and conditions. --- ## 1. Agreement Acceptance By providing goods, services, or products to AutoSMSHub.com, the Vendor acknowledges and agrees to be bound by the terms and conditions outlined in this Agreement. This Agreement supersedes any prior understandings or agreements between the parties relating to the same subject matter. --- ## 2. Scope of Services The Vendor will provide products, services, and/or solutions as agreed upon in a separate purchase order, contract, quotation, or other written agreement. The specific scope of work, timelines, deliverables, quality requirements, and compensation will be defined in the applicable document. All work and services must be completed in accordance with the specifications and requirements provided by AutoSMSHub.com. --- ## 3. Vendor Responsibilities The Vendor agrees to: * Deliver products or services within the agreed timelines and in accordance with the applicable agreement. * Ensure that all products or services meet the required quality standards, are free from material defects, and comply with applicable laws, regulations, and industry standards. * Maintain any insurance coverage required by applicable law or reasonably appropriate for the nature of the services being provided. * Provide accurate invoices and maintain appropriate financial and business records. * Inform AutoSMSHub.com promptly about any potential delays, issues, defects, security incidents, or changes related to the products or services being provided. * Protect any confidential information, credentials, customer information, or business information received from AutoSMSHub.com. --- ## 4. Payment Terms Payment for goods and services will be made according to the payment terms specified in the applicable purchase order, quotation, invoice, or contract. Unless otherwise agreed in writing, payment will be made within the agreed payment period after receipt and verification of a valid invoice and satisfactory delivery of the applicable products or services. Any applicable taxes, deductions, or statutory requirements will be handled in accordance with applicable law. --- ## 5. Confidentiality The Vendor agrees to maintain the confidentiality of all proprietary and confidential information shared by AutoSMSHub.com. Confidential information may include, but is not limited to, business plans, strategies, customer information, pricing information, software, source code, credentials, technical information, trade secrets, intellectual property, and other non-public information. The Vendor shall not disclose or use confidential information except as necessary to perform its obligations under this Agreement. These confidentiality obligations will continue after the termination or expiry of this Agreement. --- ## 6. Compliance with Laws The Vendor agrees to comply with all applicable laws, regulations, rules, and governmental requirements relating to its business activities and performance under this Agreement. This may include applicable requirements relating to data protection, privacy, taxation, labor, intellectual property, consumer protection, information security, and anti-corruption. --- ## 7. Independent Contractor Status The Vendor is an independent contractor, and nothing in this Agreement shall be interpreted as creating an employer-employee relationship, partnership, joint venture, agency, or franchise relationship between the parties. The Vendor does not have authority to represent, bind, or enter into agreements on behalf of AutoSMSHub.com unless expressly authorized in writing. --- ## 8. Intellectual Property Rights Unless otherwise specified in a separate written agreement, intellectual property specifically created for AutoSMSHub.com under a
